Large Hydropower Generation Projects

SQA worked on various matters of the following large hydropower generation projects. The Firm was mandated to advise on the issues related to the feasibility study of the Project, to advise the local sponsors on the joint ventures with the foreign investors, to negotiate the concession agreements for the Project with the Governments of Pakistan and AJK, to assist the Project’s sponsors in finalizing the financing documents for the Project, to advise on the legal matters in acquisition of the land and on EPC contracts, to assist the sponsors in financial closing of the Project and other related issues and to advise on post-financial close matters with the lenders and EPC contractors:

Small Hydel Generation Projects

SQA acted as Project Counsel for the following small power generation projects:

  • 11 MW Balloki-Sulemanki Link-I Canal Hydropower, Karsur, Punjab, Pakistan
  • 05 Jhing-II Hydropower Project, Azad Jammu and Kashmir

The Firm has also drafted and negotiated the Energy Purchase Agreement and Implementation Agreement for following REDSIP Projects undertaken by provincial power development bodies:

  • 7.2 MW Marala Hydropower Project
  • 3.2 MW Pakpattan Hydropower Project
  • 4.0 MW Okara Hydropower Project
  • 5.4 MW Chianwali Hydropower Project
  • 5.0 MW Deg-Outfall Hydropower Project

AEDB also engaged the Firm for drafting standardized security documents for Upfront based Small Hydro Power Projects. Services included advising AEDB on various issues arising out of NEPRA’s tariff and then adapting the cost-plus wind EPA, IA and the standard hydel documents of PPIB into a revised form compatible with NEPRA’s tariff.

SQA acted as a Project Counsel for the following wind power generation project:

  • 50 MW Three Gorges First Wind Farm, Sindh, Pakistan

Thermal Energy

The Firm has also acted for the Private Power and Infrastructure Board (PPIB) in assignments entailing negotiations and drafting of Implementation Agreements (IA) and Power Purchase Agreements (PPA) with Independent Power Producers (IPP) consequent on refinancing and capacity expansion arrangements. The Firm also acted in the evaluation of bid documents for a large number of solicited projects. The Firm has advised PPIB in impact assessments on the project documentation consequent upon the likely competitive market structure sought to be implemented by the Regulator.

Electricity Wheeling

The Firm was engaged by Pakhtunkhwa Energy Development Organization, Government of Khyber Pakhtunkhwa (KPK) on the restructuring of sale of electricity for its 18 MW Pehur Hydro Power Project to bulk consumers of KPK. The Project entailed restructuring of the sales transaction for sales from Pehur project to Bulk Power Consumers in KPK using Wheeling over PESCO’s network. The Firm was engaged by Pakhtunkhwa Energy Development Organization, Government of Khyber Pakhtunkhwa on the restructuring of sale of electricity for its 18 MW Pehur Hydro Power Project to bulk consumers of Gadoon Amazai Industrial Estate, Swabi. 

Competitive Bidding In The Solar And Wind Sector

AEDB engaged the Firm in preparing RFP documents for competitive and reverse bidding proposed for wind and solar projects. The RFP documents are first of its own kind documents after the Government’s and regulator’s decision regarding the policy shift for procurement of power from the RE generation projects. The Government and the Regulator have moved from an upfront tariff regime to competitive bidding for procurement of power from RE generation projects, and the Firm has been mandated to prepare the RFP documents.
